Motiro Terms of Service

These terms are an agreement between you and Code Energy, Inc., the company behind Motiro. By creating an account or using Motiro, you accept them. If you use Motiro on behalf of an organization, you confirm you have the authority to accept them for that organization.

The service

Motiro helps organizations measure and understand team motivation through surveys, analysis, and AI-assisted insights. Insights are decision support for team leaders. They are not medical, psychological, legal, or employment advice, and decisions made from them remain your responsibility.

Accounts

Keep your account information accurate and your sign-in credentials to yourself. An account belongs to one person. You are responsible for what happens under your account until you tell us it has been compromised.

Organizations and their members

Managers control their organization's data on Motiro: its teams, surveys, and results. When a manager adds a person's email address or phone number, the manager's organization confirms it has a lawful basis to share that contact detail and to invite that person to surveys.

For personal data of team members, the organization is the data controller and Code Energy is its processor, as described in the privacy policy. The Data Processing Agreement, available at /dpa on this site, forms part of these Terms whenever Code Energy processes that Customer data. By creating or using an organization as an authorized manager, you accept that agreement for the organization and give the general written subprocessor authorization it describes.

Motiro can support student teams. If your organization invites anyone under 18, it must choose and document an appropriate lawful basis, give the child clear age-appropriate privacy information, and obtain parental or guardian authorization where applicable law requires it. Do not invite a child until those steps are complete. A child may answer an organization-issued survey without creating a Motiro account and must not create or manage an organization independently.

Acceptable use

Use Motiro lawfully and as intended. In particular, you must not:

  • Attempt to identify individual survey respondents or defeat the anonymity protections.
  • Put names, contact details, or other identifying details into text that Motiro sends to an AI provider.
  • Connect an application to organization data unless the organization has authorized you to make that disclosure.
  • Use Motiro to send messages unrelated to its purpose, or to harass anyone.
  • Probe, scrape, overload, or interfere with the service or its security.
  • Resell or provide the service to third parties without our written agreement.

Plans, payment, and credits

Motiro is free to start. Paid plans and credit packs are billed through Stripe at the prices and terms shown at checkout, and renew automatically until canceled. You can change or cancel your plan at any time from the billing page; changes take effect as described there. Where a refund is not required by law, fees are non-refundable.

We may change prices for future billing periods with advance notice.

Your data and our service

Your organization's data belongs to your organization, and your personal data belongs to you. You grant Code Energy the license needed to operate Motiro: to store, process, analyze, and display the data as the service is designed to do. We may use anonymized, aggregated data, which identifies no person and no organization, for research and to improve the product.

Motiro itself, including its software, design, and content, belongs to Code Energy. These terms give you a right to use it, not ownership.

Availability and changes

We work to keep Motiro available and fast, but we do not promise uninterrupted service. We may add, change, or retire features; if a change materially reduces what a paid plan offers, we will tell you in advance.

Ending the agreement

You can stop using Motiro and delete your account at any time from your account page; deletion works as described in the privacy policy. We may suspend or terminate accounts or organizations that break these terms, and where practical we will warn you first. Sections of these terms that by their nature should survive termination, such as liability limits, survive it.

Liability

Motiro is provided as is, without warranties beyond those the law requires. To the extent permitted by law, Code Energy is not liable for indirect or consequential damages, and its total liability for claims arising from the service is limited to the fees your organization paid us in the twelve months before the claim. Nothing in these terms excludes liability that cannot legally be excluded.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules, and disputes belong to the courts located there, except where the law of your country of residence grants you mandatory protections and jurisdiction.

Changes to these terms

We may update these terms. For material changes we will give notice in the product before they take effect. Continuing to use Motiro after that means you accept the updated terms.
